However, Oracle CEO Larry Ellison has been vocal about his intentions of not only keeping Sun’s hardware business—including Sun’s SPARC processor—but increasing investments in it. Ellison has taken to tweaking IBM about the upcoming competition a combined Oracle and Sun will pose to Big Blue.

Shares of Sun Microsystems fell nearly 23 percent Monday, following the reported collapse this weekend of its merger talks with IBM, and Sun is now vulnerable to shareholder lawsuits or changes in top management if executives can't move quickly to shore things up, analysts said Monday. If the IBM-Sun deal does go through, antitrust will likely be a problem, especially for the European Union, which is more concerned than U.S. regulators about the potential impact on European competitors, said Evan Stewart, a senior partner in the New York office of Zuckerman Spaeder.
According to Bloomberg, IBM had planned to announce its acquisition of Sun on Monday morning but balked at expensive change-of-control contracts with Sun executives, while Sun claimed IBM would have too much control over its projects and employees before the deal closed.
